General Terms and Conditions (GTC) of Stage2Systems GmbH

1. Scope of Application

2. These General Terms and Conditions apply to all services and offers provided by Stage2Systems GmbH, Steigstrasse 9, 8610 Uster, Switzerland (hereinafter "S2 Systems"). By commissioning S2 Systems, the customer accepts these GTC.

1. Services

2. S2 Systems provides consulting and implementation services in the field of Operational AI, Knowledge Infrastructure and digital solutions for manufacturing companies and software providers. Specifically: Management Consulting, Operational AI Advisory, Manufacturing AI Implementation Support, Business Development Mandates, Technical Domain Translation, Knowledge Capture and Operational Knowledge Structuring, Change Enablement, and Pilot Support. The exact scope of services is set out in the respective proposal or contract.

1. Offers and Conclusion of Contract

2. Offers from S2 Systems are non-binding. A contract is only concluded upon written order confirmation or the commencement of service delivery.

1. Remuneration and Payment Terms

2. Remuneration is based on the agreed proposal. Invoices are payable within 30 days of the invoice date. In the event of late payment, S2 Systems is entitled to charge default interest of 5% p.a.

1. Confidentiality

2. Both parties undertake not to disclose confidential information of the other party to third parties and to use it only within the scope of the agreed cooperation. This obligation shall continue to apply after the termination of the contractual relationship.

1. Liability

2. S2 Systems provides consulting services within the framework of a mandate relationship and is only liable for damages resulting from intent or gross negligence. Liability for slight negligence is excluded to the extent permitted by law. In any case, liability is limited to the amount of the agreed remuneration for the respective mandate. Liability for consequential damages, lost profits or indirect damages is excluded.

1. Intellectual Property

2. All work results created by S2 Systems shall become the property of the customer upon full payment, unless agreed otherwise. S2 Systems retains the right to reuse general methods, frameworks and tools.

1. Termination

2. Both parties may terminate the contract in writing with a notice period of 30 days. Termination without notice is possible for good cause. Services already rendered must be paid for in any case.

1. SaaS Services (DynaMaint)

2. Separate SaaS Terms apply to the use of the DynaMaint SaaS platform. These GTC exclusively govern consulting and implementation services.

1. Final Provisions

2. Swiss law shall apply. The place of jurisdiction is Uster, Switzerland. Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
